Terms & Conditions

These Terms and Conditions (“Terms”) constitute a binding legal agreement between HMall Technologies LTD, a company incorporated under the laws of the British Virgin Islands with Company No. 21995904 pursuant to the British Virgin Islands Business Companies Act of 2004 (as amended) (“HMall”, “Company”, “we”, “us”, or “our”), and the individual or entity accessing or using the Platform (“User”, “you”, or “your”).

These Terms govern your access to and use of the HMall platform (the “Platform”) and the purchase of products and services provided by our partners (“Services”). By accessing the Platform or using the Services, you represent that you have read, understood, and accepted these Terms in their entirety. If you do not agree to these Terms, or if your use of the Services would violate the laws of your jurisdiction, you are prohibited from accessing the Platform and must discontinue use immediately.

By utilizing the Platform, you acknowledge the inherent risks associated with the Services. HMall assumes no liability for adverse outcomes arising from your use of the Platform. All content provided on the Platform is for general informational purposes only. No information provided by HMall constitutes technical, investment, financial, or legal advice. You agree to exercise independent judgment and conduct your own due diligence before relying on any Platform content.

1. DEFINITIONS

1.1. “Account” means the account created on NodeLink to use the services offered by the Platform.

1.2. “NodeLink” is an intermediary platform that operates as a unified sign-on system enabling Users to access Third-Party Partners’ services and products offered on their platforms.

1.3. “Third-Party Partner” means the service providers, product developers and third parties with which we have service agreements to maintain the Platform. Each Third-Party Partner is governed by their own terms and policies. HMall does not exercise any control or management over these Third-Party Partner websites, products and/or services. Users should conduct their own due diligence to read and understand each of the legal documents governing those products and services.

These Terms may be translated into multiple languages for convenience. In the event of any discrepancy or inconsistency between the English version and a translated version, the English text shall prevail.

2. ELIGIBILITY AND COMPLIANCE

2.1. General Eligibility

To access the Platform, you must be:

(a) A natural person at least eighteen (18) years of age with full legal capacity; or

(b) A legal entity with the requisite corporate authority to enter into these Terms.

2.2. Sanctions and Restricted Jurisdictions.

(a) We reserve the right to refuse service to any User who is a resident of, or directly/indirectly related to persons or entities listed on, political or economic sanctions lists maintained by the U.S. Office of Foreign Assets Control (OFAC) or the Financial Action Task Force (FATF).

(b) Users accessing Third-Party Partner services from jurisdictions sanctioned by OFAC or FATF assume full responsibility for compliance with all applicable local and international regulations.

2.3. Third-Party Eligibility

Access to Third-Party Partner Websites is subject to the specific eligibility criteria, age restrictions, and terms of those partners. HMall is not liable for discrepancies in eligibility requirements across different partners. Your access to Third-Party Partner Websites through our Platform is contingent upon your compliance with the respective Third-Party Partner Website's terms and conditions, as well as any applicable laws and regulations in your jurisdiction.

3. ACCOUNT REGISTRATION AND MEMBERSHIP

3.1. Registration

Access to the Platform requires the creation of an Account via the NodeLink platform. By registering, you warrant that your use of the Platform does not violate any applicable laws or third-party agreements.

(a) Identity Verification: Users may acquire an NLINK Membership to undergo identity verification (KYC) on NodeLink. Verification is contingent upon the successful completion of customer due diligence procedures.

(b) Introductory Period: Users who register or log in to the Platform prior to 31 December 2026 shall receive a complimentary NLINK Membership valid until said date.

(c) Post-2026 Requirements: Effective 1 January 2027, or for any Users registering after 31 December 2026, access to Platform features shall be strictly conditional upon the purchase and maintenance of an active NLINK Membership.

(d) Modifications: HMall reserves the right to modify Membership fees, duration, and terms at its sole discretion, provided that any such changes are communicated to Users via the Platform, including through updated platform documentation, or revised terms and conditions made available on the Platform.

3.3. Information Accuracy

You agree to provide true, accurate, and complete information during registration and to update such information promptly if it changes. HMall reserves the right to verify provided information through public or private registries or third-party providers.

3.4. Geographic Access Restrictions

Users shall acknowledge and agree that HMall reserves the right to impose restrictions on access from specific jurisdictions, as determined by its internal policies. Users shall comply with such restrictions and acknowledge that access to the Platform may be limited or prohibited in certain geographic areas.

3.5. Account Security and Non-Transferability

(a) Accounts are personal and non-transferable.

(b) You are strictly prohibited from purchasing, selling, or transferring Accounts, except where such transfer is executed via the official change of ownership procedure expressly permitted by NodeLink.

(c) Termination Consequence: Violation of this clause may result in immediate termination of access. You acknowledge that termination of access for any reason may result in the total forfeiture of assets associated with your Account on NodeLink or Third-Party Partners, without recourse or reparation against HMall.

4. PLATFORM SERVICES AND ORDERS

4.1. Hardware Purchases

The Platform facilitates the sale of hardware products only. (a) Upon order confirmation, purchased hardware is deemed automatically activated and ready for use in accordance with applicable documentation. (b) An official invoice will be generated and made available for download in your User dashboard.

4.2. Payment Processing

(a) Card payments (credit/debit) are processed exclusively by Geidea, a third-party service provider. (b) Selecting card payment will redirect you to the Horys Tech platform interface. (c) HMall does not collect, process, or store card data. All transaction data is handled by Geidea in compliance with the Payment Card Industry Data Security Standard (PCI DSS). (d) HMall reserves the right to introduce alternative payment models (e.g., installments, subscriptions) at its discretion, subject to terms published at that time.

4.3. Shipping and Delivery Policy

(a) Orders are shipped to the address specified by the User. No pick-up option is available. The User is responsible for all shipping fees. (b) If delivery fails due to the User’s refusal to pay customs fees, refusal to provide documentation, or failure to accept delivery:

  • The order will be designated as "returned."

  • No refunds shall be issued.

  • Re-delivery requires the User to contact support and pay applicable second-attempt shipping charges.

(c) If delivery fails due to an incomplete or invalid address:

  • HMall will issue at least three (3) written reminders over a period of sixty (60) calendar days.

  • If the User fails to provide a valid address within this 60-day period, the hardware product shall be deemed ineligible for shipping.

  • The hardware will remain hosted in-house by the Company, and the User shall remain liable for applicable hosting and maintenance fees. HMall shall have no further obligation to ship the unit.

(d) Users must ensure that the shipping address provided at the time of purchase is accurate and complete. Upon delivery, Users are responsible for promptly inspecting the products and reporting any issues or discrepancies to HMall’s customer support https://support.hmall.shop/support/homearrow-up-right.

4.4. Returns and Refunds

HMall does not maintain an independent return policy. All hardware transactions are governed exclusively by the Horys Technologies Return and Refund Policy (available at https://docs.horystech.com/legal-documents/return-and-refund-policyarrow-up-right). You acknowledge that Software Technology Licenses are digital products and are non-refundable, non-revocable, and non-exchangeable once issued.

5. CODE OF CONDUCT

5.1. Prohibited Activities

You agree not to:

(a) Misuse or attack our Platform by knowingly introducing viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful (such as but not limited to denial-of-service attack);

(b) Post false, inaccurate, misleading, defamatory, unlawful, harassing, libelous, privacy-invading, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable content on our Platform or through our services and in any other kind of social media platforms or private websites;

(c) Use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise exploit for any purpose any content of the Platform not owned by them in a way that violates someone else’s rights;

(d) Attempt to gain unauthorized access to our Platform, the server on which our Platform is stored, or any server, computer, or database connected to our Platform.

5.2. Service Access Limitations and Termination

We reserve the right, at our sole discretion, to limit access to the Services (or certain functions thereof) or to fully terminate access in case of repeated breaches of these Terms or to ensure compliance with applicable law or protection of third-party rights and interests.

5.3. Account Ownership and Transfer Restrictions

The Accounts are personal and non-transferrable. Users acknowledge and agree not to, under any circumstances, engage in the direct or indirect purchase of Accounts belonging to other Users on the NodeLink platform, except where such transfer is carried out strictly in accordance with the applicable change of ownership procedure as established and expressly permitted by the NodeLink platform. Violation of this clause may result in immediate termination of access to the Platform.

5.4. Consequences of Account Termination

Users expressly acknowledge and agree that having their access to the Platform terminated for any reason may lead to loss of all assets related to their account in NodeLink or other Third-Party Partner without any rights and/or reparations against the Platform, its shareholders, directors, employees, partners or any associated entity.

HMall retains the right to suspend or terminate Accounts or Services on our Platform, or if necessary, report individuals to the appropriate authorities, and invoke remedies as permitted by applicable law in cases where prohibited activities are identified.

6. TAX AND FEES

6.1. Tax

Users are solely responsible for determining, collecting, reporting, and paying any taxes applicable to their use of the Services and transactions facilitated by the Platform.

6.2. Fees

Current fees are listed on the Platform. HMall reserves the right to revise fees at any time without prior notice. Continued use of the Platform constitutes acceptance of updated fees.

7. DISCLAIMERS AND RISKS

7.1. Users are solely responsible for ensuring that they use hardware and software compatible with the Platform. Users acknowledge that we may update or modify the authorized hardware and software Platform requirements at any time, and they are responsible for ensuring that the hardware and software meet the updated or modified requirements.

7.2. There is a risk that HMall may be temporarily or permanently unable to provide access to the Platform and thus also to the Services. The Platform is provided “as is” and “as available”. HMall and its Third-Party Partner Websites expressly disclaim all representations or warranties of any kind, whether express, implied, statutory, or otherwise about the Platform and Services, including, without limitation, any implied warranties of merchantability for a particular purpose, non-infringement or course of performance.

7.3. HMall does not warrant that: (i)

(a) the Platform will function uninterrupted, secure, or available at any particular time or location, or will be error-free or free of harmful components; any errors or defects will be corrected;

(b) the Platform is free of viruses or other harmful components;

(c) any content and data will be secure or not otherwise lost or damaged;

(d) the results that may be obtained from the use of the Services will be accurate or reliable; or

(e) the results of using the Platform will meet your requirements or expectations.

7.4. By accessing our Platform, Users acknowledge and accept the inherent risks associated with the use of the Services and the Platform. We diligently strive to furnish state-of-the-art systems and implement robust security measures. Nonetheless, certain issues and risks are unavoidable. If such issues or problems arise in connection with your use of our Platform, resolution timelines may vary, and certain issues may remain unresolved. By agreeing to these Terms, you acknowledge that HMall is not responsible for the aforementioned risks on our Platform.

7.5. Users are solely responsible for assessing the Services prior to utilization, and all transactions facilitated through the Services are irreversible, conclusive, and non- refundable. The Services may be disabled, disrupted, or adversely affected by sophisticated cyber-attacks, increases in activity, computer viruses, and/or other operational or technical challenges, among other factors. HMall explicitly disclaims any ongoing obligation to notify Users of all potential risks associated with using and accessing our Services. By utilizing the Services, Users acknowledge and accept these risks, and they agree not to hold HMall liable for any resulting losses.

7.6. Users expressly acknowledge and agree that Software Technology Licenses are digital products and, once issued or assigned, are non-refundable, non-revocable, and non-exchangeable, except where required by applicable law.

8. PRIVACY

We process personal information in accordance with our Privacy and Cookies Policy. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate.

The Platform may contain hyperlinks or references to Third-Party Partner advertising and Third-Party Partner Websites. These are provided for convenience and educational purposes only. HMall has no control over Third-Party Partner advertising or Third-Party Partner Websites and assumes no responsibility for any content, material, or information contained in them. The display of any hyperlink and reference to any Third-Party Partner advertising or Third-Party Partner Websites does not imply endorsement of such Third-Party Partner’s Websites, products, or services. Users' use of a Third-Party Partner Platform may be governed by the terms and conditions of that third-party platform and is at their own risk.

10. LIMITATIONS OF LIABILITY

We do not assume any liability for any special, direct, indirect, incidental, punitive, or consequential damages arising from or in connection with the Platform, the Services or any hardware and software components, including but not limited to, loss of profits or revenues, loss of data, loss of assets, use of the Platform or Third-Party Partner Website. Our liability for any claim related to the Platform, the Services or any hardware and software components shall not exceed the value of the assets available in the User’s Account at the time of loss, regardless of the form of action, whether in contract, tort (including negligence), strict product liability or any other cause of action or legal or equitable theory.

11. ACCURACY OF INFORMATION

11.1. HMall endeavours to ensure the accuracy, currency, and bug-free nature of the Platform; but shall not be held responsible for any failure attributable to causes beyond its control. HMall does not guarantee that the Platform is suitable for any specific purpose. Users’ reliance on the information provided on the Platform is at their own risk.

11.2. HMall reserves the right to suspend or terminate access or operation of the Platform at its discretion. Any content on the Platform is for general informational purposes only, providing information about us, our products, news, features, services, and other Third-Party Partner Websites that may be of interest. However, this content has not been tailored to the Users specific requirements or circumstances and does not constitute technical, financial, legal advice, or any other type of advice. It should not be relied upon for any purpose. Users should exercise their independent judgment when using our Platform and its content.

11.3. HMall strives to keep the Platform available for Users; but it does not guarantee uninterrupted access or consistent availability.

12. INDEMNIFICATION

12.1. Users (herein referred to as the “Indemnifying Parties”) agree to indemnify and hold harmless HMall, its officers, directors, employees, and affiliates (herein referred to as the “Indemnified Parties”) from and against any and all claims, demands, suits, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to their (i) use of the Platform or the Services, (ii) violation of applicable laws, regulations, or governmental requirements or (iii) breaches of these Terms or infringement of any rights of another.

12.2. The Indemnifying Parties indemnification obligations are contingent upon the Indemnified Parties:

12.2.1. Promptly notify the Indemnifying Party of any claim or potential claim subject to indemnification.

12.2.2. Cooperating fully with the Indemnifying Party in the defence or settlement of any such claim.

12.2.3. Allowing the Indemnifying Party to control the defence and settlement negotiations, provided that the Indemnifying Party acts reasonably and in good faith.

12.3. This indemnification clause shall survive the termination or expiration of these Terms. The Indemnifying Parties indemnification obligations herein are not subject to any limitation of liability or exclusion of consequential damages set forth in these Terms. This clause is a material provision of these Terms, and both parties acknowledge and agree to its significance.

13. FORCE MAJEURE

HMall shall not be held liable for any failure to comply with these Terms due to circumstances beyond our reasonable control, including but not limited to governmental actions, acts of terrorism, war, fires, disruptions in telecommunications or internet services, network provider issues, software malfunctions, network-wide compromises, hacking, strikes, labour disputes, accidents, civil or military disturbances, or other catastrophic events. In no Force Majeure event shall HMall be responsible for inaccuracies, errors, delays, omissions, service disruptions, or interruptions in the Services, whether in transmission or delivery of information as required by these Terms.

14. MODIFICATIONS

HMall is consistently engaged in the ongoing development and improvement of the Platform and Services. HMall reserves the right to modify, restrict access to, or terminate any functionalities and services on the Platform. We also reserve the right to unilaterally amend or update these Terms at any time without prior notice. Continued use of the Platform and Services signifies acceptance of the revised Terms.

15. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS

15.1. The intellectual property rights in the Platform and in any text, images, video, audio, or other multimedia content, software, or other information or material submitted to or accessible from the Platform (“Content”) is owned by HMall and our licensors.

15.2. HMall and its Third-Party Partners reserve all intellectual property rights, including, but not limited to, all copyright, trademarks, domain names, codes, websites, design rights, database rights, patents, and all other intellectual property rights of any kind, whether registered or unregistered anywhere in the world. This means that HMall and its Third-Party Partners are owners of such rights and are free to use them as per their own interest.

15.3. These Terms do not grant any rights to Users regarding the Platform or Content, except as required for accessing it. Users agree not to modify, attempt to circumvent, or remove any notices present on the Platform or Content, including intellectual property notices, particularly those related to digital rights or other security technology embedded or incorporated within the Platform or Content.

16. NO THIRD-PARTY RIGHTS

These Terms are enforceable only by HMall and the Users, and no third-party has the right to enforce any provision herein.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1. The laws of the British Virgin Islands govern these Terms. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the British Virgin Islands courts.

17.2. HMall strives to expeditiously and effectively address any disputes with Users. If the User wishes to file a complaint, kindly contact us at https://support.hmall.shop/support/homearrow-up-right.

17.3. Users understand and agree that the support related to the products and services being sold in the Platform are from the entire responsibility of their respective manufacturers and that HMall has no powers to provide any kind of support related to the usage and warranty of such products.

18. SUPPORT
